1. You may access and browse the Site for lawful purposes only. You agree not to:
   1. use the Site in any way that violates applicable law, or that infringes the rights of CitiusCloud or any third party;
   2. attempt to gain unauthorised access to the Site, its underlying infrastructure, or any system or network connected to it;
   3. use any automated means (scraping, crawling, data-mining) to extract content from the Site beyond what is permitted by our robots.txt and standard search-engine indexing;
   4. introduce viruses, malware, or other harmful code, or otherwise interfere with the Site's normal operation.
2. We may suspend or restrict access to the Site, in whole or in part, at any time and without notice, including to protect its security or integrity.

Certain features of the Site may require registration. You shall provide accurate and current information and keep your account credentials confidential and secure. You shall not share or permit any third party to use your account or credentials, except as authorised by CitiusCloud, and shall promptly notify CitiusCloud of any unauthorised access or security incident. Where an account is created for an organisation, you represent that you are authorised to do so. CitiusCloud may suspend, restrict or terminate any account or access where reasonably necessary to protect the Site, its systems or users, or where you breach these Terms.

Content on the Site, including descriptions of our practices, products, case studies, and stated outcomes, is provided for general informational purposes and does not constitute an offer, quotation, or contractual commitment. Any engagement for services is governed exclusively by a separately negotiated and signed agreement (such as a statement of work or master services agreement) between CitiusCloud and the client, the terms of which prevail over anything stated on the Site in the event of a conflict.

The Site and its content, including text, graphics, layouts, the CitiusCloud and citiusIQ names and logos, and other CitiusCloud-owned marks, are owned by or licensed to CitiusCloud and are protected by applicable intellectual-property laws. Except as necessary to view the Site in a standard web browser, no part of the Site may be reproduced, distributed, modified, or used to create derivative works without our prior written consent.

Vendor, partner, and customer names, logos, and certification marks that appear on the Site (for example, OEM and technology-partner marks in our certifications and partnerships pages) are the trademarks of their respective owners and are used to identify partnership, certification, or engagement status, or otherwise with permission. Their appearance does not imply endorsement of CitiusCloud by the mark owner beyond what is expressly stated.

1. If you submit any enquiry, feedback, suggestion, document, data, communication or other material to CitiusCloud through or in connection with the Site ("Submission"), you represent and warrant that:
   1. you have all rights, permissions and authority necessary to submit such Submission;
   2. the Submission does not infringe, misappropriate or otherwise violate any third-party intellectual-property, privacy, confidentiality or other rights; and
   3. the Submission does not contain any unlawful, malicious or harmful material.
2. You grant CitiusCloud a worldwide, non-exclusive, royalty-free right to use, reproduce, store, process and disclose the Submission to the extent reasonably necessary to respond to your enquiry, provide requested services, improve our products or services, comply with applicable law, or otherwise operate our business.

The Site may reference or link to third-party websites (for example, vendor or partner sites) that we do not control. We are not responsible for the content, accuracy, or practices of any linked site, and inclusion of a link does not imply our endorsement of it.

Your access to and use of any third-party website or service is subject to the applicable terms and policies of such third party. We shall not be liable for any loss or damage arising from or relating to your access to, use of, or reliance upon any third-party website, service, content or resource.

The Site and its content are provided "as is" and "as available", without warranties of any kind, whether express or implied, including as to accuracy, completeness, or fitness for a particular purpose. We do not warrant that the Site will be uninterrupted, timely, or error-free.

To the fullest extent permitted by applicable law, CitiusCloud will not be liable for any direct, indirect, incidental, special, or consequential loss or damage arising from, or in connection with, your access to or use of, reliance on or inability to use the Site or any information contained on it.

You agree to indemnify, defend and hold harmless CitiusCloud, its affiliates, licensors, partners, officers, employees, representatives and service providers from and against any claims, losses, liabilities, damages, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to (i) your use of the Site; (ii) your breach of these Terms or applicable law; (iii) your violation of any third-party rights; (iv) any Submission made by you; or (v) any misuse of the Site or your account.

1. Our Privacy Policy describes how we handle information you send us. The Site has no forms or accounts and collects no personal data through the Site itself; enquiries reach us as email you send from your own mail client.
2. The Site may use cookies, pixels, analytics tools or similar technologies to enable functionality, understand Site usage, improve performance and enhance user experience. Your use of such technologies may be subject to applicable browser settings, and our Privacy Cookies Policy.

We may update these Terms from time to time. The version published on this page at the time of your visit applies. Material changes will be reflected by an updated date on this page.

1. These Terms, together with the Privacy Policy and Cookies Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and CitiusCloud concerning your access to and use of the Site and supersede all prior communications relating to such subject matter.
2. If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable and the remaining provisions shall continue in full force and effect.
3. No failure or delay by CitiusCloud in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy.
4. You may not assign, transfer or delegate your rights or obligations under these Terms without CitiusCloud's prior written consent. CitiusCloud may assign or transfer its rights and obligations under these Terms to an affiliate or in connection with any merger, reorganisation, sale of business or transfer of substantially all of its assets.

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts at Thane, Maharashtra.
